Terms of Service
These Terms of Service are a binding agreement between you and [provider legal entity — to be completed before launch](“byosportal”, “we”, “us”), governing your use of the byosportal service. They incorporate our Privacy Policy and Data Processing Agreement.
Version 1.0, effective 1 June 2026. Items shown in [brackets] are finalised before launch.
1. Agreement to these terms
By accessing or using byosportal (the service) you agree to be bound by these Terms of Service. These Terms incorporate by reference the Privacy Policy and the Data Processing Agreement, each of which forms part of the agreement between you and us. If you do not agree to these Terms, the Privacy Policy, and the Data Processing Agreement, you must not access or use the service.
byosportal is a bring-your-own-storage secure client portal. You connect your own AWS S3, Google Cloud Storage, or Azure Blob Storage buckets and generate time-limited, optionally password-protected download and upload links. File contents travel directly between your bucket and the recipient and never traverse or persist on byosportal servers; we process only limited operational metadata as described in the Privacy Policy and the Data Processing Agreement, and we never take custody of your file contents.
If you accept these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation, and the words you and your in these Terms refer to that organisation. If you do not have that authority, you must not accept these Terms or use the service on its behalf.
These Terms apply to every plan, whether Free, Pro, or Business. The version of these Terms that applies to your use of the service is the one in effect as of the last-updated date shown on this page, and your continued use of the service after any update constitutes acceptance of the revised Terms.
2. The service
byosportal is a bring-your-own-storage (BYOS) secure client portal. You connect your own AWS S3, Google Cloud Storage, or Azure Blob Storage buckets and, through byosportal, generate time-limited and optionally password-protected download and upload links to share with your clients.
File contents travel directly between your own bucket and your client and never traverse, are processed by, or are stored on byosportal servers. byosportal mints short-lived signed URLs against your bucket on authenticated requests made through your account, processes only the limited operational metadata described in the Privacy Policy and the Data Processing Agreement, and never takes custody of your file contents.
Generating a link is a mechanical, instruction-following operation: byosportal acquires no independent right to access, use, or retain your content, makes no representation about it, and has no obligation to screen, moderate, or remove it. Your responsibilities for the connected bucket and its contents are set out in the sections that follow.
3. Accounts and eligibility
To use byosportal you must be able to form a legally binding contract under applicable law. Where you open or use an account on behalf of an organisation, you warrant that you are authorised to bind that organisation to these terms.
Sign-in is handled by Hanko, the authentication provider for the service. You agree to provide accurate and current account information and to keep it up to date. Use of the service is also governed by the Privacy Policy and the Data Processing Agreement.
You are responsible for all activity that occurs under your account, and for keeping your means of access secure. This is distinct from the storage credentials, bucket configuration, and file contents in the connected AWS S3, Google Cloud Storage, or Azure Blob bucket, which remain your sole responsibility.
You must notify byosportal promptly on becoming aware of any unauthorised use of, or access to, your account.
4. Your storage and your content
byosportal is a bring-your-own-storage service. You connect storage that you own and control — AWS S3, Google Cloud Storage, or Azure Blob — and you remain the owner of, and solely responsible for, the files stored in it, the cloud credentials used to connect it, and the configuration, access policies, permissions, and encryption settings of your bucket. File contents travel directly between your bucket and the recipient and never traverse or persist on byosportal servers; byosportal never takes custody of file contents.
byosportal acts only on your authenticated instruction — generating time-limited, optionally password-protected download and upload links and minting the corresponding signed URLs on request. This is a mechanical instruction-following service: byosportal acquires no independent right to access, use, or retain your content, makes no representation about it, and has no obligation to screen, moderate, or remove it. byosportal processes only the limited operational metadata described in the Privacy Policy and the Data Processing Agreement, and retains no copies of file contents.
You are solely responsible for ensuring that you hold all rights necessary to store the content and to share it through the service. You warrant that the content stored in your bucket and distributed through links generated by the service is lawful, does not infringe the intellectual property or other rights of any third party, and complies with applicable data protection law, including maintaining a lawful basis for any personal data it contains. Each party is responsible for its own compliance with the export-control, sanctions, and sector-specific regulations applicable to the data it controls.
You are responsible for all of the following, for which byosportal accepts no liability:
- The security configuration of your bucket — access policies, public-access blocks, and encryption at rest. The byosportal security obligations extend only to the credentials it holds in encrypted form and the signed URLs it mints.
- The availability, durability, and performance of the storage provider, and any loss of or damage to data originating from the provider you choose.
- All charges billed by the storage provider, including storage volume, API calls, and data egress. byosportal passes through no storage charges and does not reimburse provider costs.
You indemnify byosportal against any third-party claim arising from your content, its storage, or its distribution via links generated by the service. On termination of your account, the encrypted credential record held by byosportal is deleted in accordance with the retention schedule stated in the Privacy Policy; byosportal holds no file contents to delete.
5. Acceptable use
You must use byosportal only for lawful purposes and in accordance with these terms. byosportal generates time-limited, optionally password-protected download and upload links against storage buckets you connect; you are solely responsible for the files, cloud credentials, bucket configuration, and permissions involved, and must not use the service in any way that is unlawful, infringing, deceptive, malicious, or abusive.
You must not:
- use the service for any unlawful purpose, or in a manner that infringes the intellectual property, privacy, or other rights of any third party;
- upload, store, or distribute through a byosportal link any malware, virus, or other harmful code, or any content you are not entitled to share;
- distribute content that is fraudulent, deceptive, or intended to mislead the recipients of a link;
- attempt to circumvent, disable, or defeat plan limits, rate limits, link expiry, password protection, or any other security control;
- probe, scan, or test the vulnerability of the service, or attempt to gain unauthorised access to any account, system, or data;
- interfere with, overload, or disrupt the service or the infrastructure on which it runs, or use it to harm or harass others;
- copy, reproduce, mirror, or create any derivative of the service or its user interface, except to the limited extent the right granted to you, or applicable law, expressly allows;
- reverse-engineer, decompile, or disassemble the service, or otherwise attempt to derive its source code, algorithms, or underlying structure, except only to the extent this restriction is prohibited by, or you have a non-waivable right under, applicable law — including, for users in the EU or EEA, the decompilation-for-interoperability and the error-correction and observe-study-test rights under Articles 6 and 5 of Directive 2009/24/EC, or any analogous mandatory right under the laws applicable to you, and only to the extent of that right (you may first ask us for the interoperability information you need);
- scrape, crawl, harvest, or use any bot, spider, or other automated means to extract data from the service, otherwise than through a documented byosportal interface used within its terms;
- resell, rent, lease, sublicense, time-share, or otherwise commercially redistribute the service, or provide it to a third party as your own offering;
- frame, embed, mirror, or white-label the service or any of its pages without our prior written permission, save for the customer-facing branded share pages the service itself offers as a feature of your plan; or
- remove, obscure, or alter any proprietary, trademark, or copyright notice, or any Powered by byosportal badge, except by using a plan feature that suppresses it.
Because file contents travel directly between your bucket and the recipient and never traverse or persist on byosportal servers, byosportal does not screen, moderate, or remove the content shared through a link, and you warrant that all such content is lawful and complies with applicable law, including any obligation to maintain a lawful basis for personal data. Responsibility for the content, its storage, and its distribution rests with you, as further described in the Privacy Policy and the Data Processing Agreement.
byosportal may investigate suspected violations and may suspend or terminate access to the service, in whole or in part, where you breach this section or otherwise misuse the service. Suspension or termination does not entitle you to a refund of fees for any partial period except where required by law.
6. Plans, billing, and cancellation
byosportal offers a Free plan and two paid plans, Pro and Business. The features and limits of each plan — including caps on active links and connections — are described on the pricing page. When a plan limit is reached, the over-limit action is blocked and an upgrade prompt is shown; you are not charged automatically by reaching a limit.
Paid plans are recurring subscriptions billed through Stripe, the payment processor. A paid subscription renews automatically at the end of each billing cycle at the then-current price, and you authorise Stripe to charge the selected payment method for each renewal until the subscription is cancelled. The billing cycle, price, and next charge date are shown at the point of purchase.
You may cancel a paid plan at any time from the Stripe customer portal, reachable from your account billing settings. Cancellation takes effect at the end of the current paid period: the plan stays active until that period ends and then does not renew, so you must cancel before the next renewal date to avoid the next charge. Cancellation stops future billing and reverts your account to the Free plan; it does not delete your account or stored data, which are governed by the termination and retention provisions of these Terms and the Privacy Policy.
- Fees already paid are non-refundable for partial periods, except where a refund is required by applicable law.
- You are responsible for any taxes, duties, or similar charges applicable to the subscription, except for taxes based on byosportal’s own income.
- Subscription fees cover access to the byosportal service only; they do not include any costs charged by the cloud storage provider, which you pay separately under the storage and credentials provisions of these Terms.
Prices and the features included in each plan may change. byosportal will give reasonable prior notice of any price increase or material change affecting a paid plan before it applies to a renewal, so you have the opportunity to cancel before the new terms take effect. Continued use of a paid plan after a change takes effect constitutes acceptance of the updated price or features.
7. Plan limits
Each plan — Free, Pro, and Business — carries feature and usage limits. These include, among others:
- the number of active download and upload links you may have at one time; and
- the number of connected storage buckets you may configure.
When an action would exceed a limit on your current plan, byosportal declines that over-limit action and presents an upgrade prompt rather than performing it. Actions within the applicable limits are unaffected.
The current limits for each plan are listed on the pricing page, which forms part of these terms. byosportal may adjust plan limits, and will give notice of changes that reduce a limit on a plan you hold.
Plan limits govern only the use of byosportal features. They do not affect the underlying storage relationship between you and the cloud provider you choose, including the volume of data you may store or any costs the provider charges for it.
8. Intellectual property
byosportal and its licensors own all rights, title, and interest in the service, including the underlying software, its user interface, and all related intellectual property rights. The byosportal name, logo, and branding are the property of byosportal and may not be used without prior written permission. Nothing in these terms transfers any ownership of the service or its software to you; you receive only a limited, non-exclusive, non-transferable right to use the service in accordance with these terms.
You retain all ownership of your content. Because byosportal is a bring-your-own-storage service, file contents travel directly between the storage bucket and the recipient and never traverse or persist on byosportal servers; byosportal takes no custody of those file contents and acquires no rights to access, use, or retain them. You grant byosportal only the limited licence necessary to process the operational metadata required to provide the service — for example link configuration, plan and usage records, and the audit data described in the Privacy Policy and the Data Processing Agreement. This licence is limited to that purpose and lasts only as long as needed to deliver the service and meet the retention terms set out in those documents.
- byosportal acquires no independent right to access, use, copy, or distribute the content held in your storage bucket; it acts solely on authenticated instruction from your account.
- The generation of signed download and upload links is a mechanical, instruction-following function. byosportal does not screen, moderate, or review content, and makes no representation about it.
- You warrant that all content stored in your bucket is lawful and does not infringe the intellectual property or other rights of any third party.
Your limited right to use the service does not include any right to copy, modify, adapt, translate, distribute, sell, rent, lease, sublicense, frame, mirror, or create derivative works of the service, its software, its user interface, or its documentation, or to reverse-engineer, decompile, or disassemble the software or otherwise attempt to derive its source code, algorithms, or underlying structure, except as these terms expressly permit. This restriction applies only to the extent the law applicable to you permits it to apply: it does not override any right that cannot be excluded or limited by agreement, such as, for users in the European Union or European Economic Area, the rights to decompile a program to achieve interoperability with an independently created program under Article 6 of Directive 2009/24/EC and to observe, study, test, correct errors in, and make a back-up copy of the software under Article 5 of that Directive, or any analogous non-waivable right under the laws applicable to you, in each case only to the extent of, and on the conditions set by, that mandatory right; you are welcome to ask byosportal for the interoperability information you need before relying on it. Save for the limited right of use expressly granted in this section, all rights in and to the service and its software are reserved to byosportal and its licensors.
If you send byosportal any feedback, suggestions, or ideas about the service, byosportal may use them for any purpose without restriction, attribution, compensation, or any other obligation to you, and you do not acquire any rights in the service as a result.
9. Third-party services
byosportal interoperates with third-party services to deliver its functionality. The most significant of these is the cloud storage provider you connect — Amazon Web Services (S3), Google Cloud Storage, or Microsoft Azure Blob Storage. File contents travel directly between your bucket and the recipient and never traverse or persist on byosportal servers; you own and control the bucket, the credentials, and all content within it.
The relationship between you and the cloud storage provider you choose is solely between those two parties and is governed by that provider’s terms of service and privacy policy. All costs charged by that provider — including storage volume, request and API charges, and data-egress fees incurred when recipients download files — are borne entirely by you. byosportal passes through no storage charges and earns no part of them.
byosportal acts only on authenticated instruction from your account, calling the cloud provider to list objects and to mint time-limited signed download and upload links. byosportal acquires no independent right to access, use, retain, or screen the content held in your bucket, and makes no representation about it. You are solely responsible for bucket security configuration (access policies, encryption-at-rest, and public-access controls) and warrant that all content stored in your bucket is lawful and does not infringe third-party rights.
byosportal also relies on the following sub-processors for limited operational functions, each governed by its own terms and privacy policy:
- Vercel — application hosting; it serves the byosportal application and processes operational metadata only, never file contents.
- Managed PostgreSQL — the metadata database holding link, plan, and access-audit records; never file contents.
- Hanko — account authentication and sign-in.
- Resend — delivery of download-notification and other transactional email.
- Stripe — subscription billing and payment processing for the Pro and Business plans.
These sub-processors receive only the limited operational metadata described in the Privacy Policy and the Data Processing Agreement; none takes custody of file contents. The use of any third-party service through byosportal is subject to that provider’s applicable terms, and continued availability of an integration may depend on the third party.
To the fullest extent permitted by applicable law, byosportal is not responsible or liable for the acts, omissions, terms, pricing, security practices, availability, durability, performance, or data loss of any third-party service, including the cloud storage provider you choose. You indemnify byosportal against any third-party claim arising from content stored in your bucket or distributed through byosportal-generated links. Nothing in this clause limits liability that cannot be excluded under applicable law.
10. Availability and changes
The service is provided on an as-is and as-available basis. byosportal may add, change, suspend, withdraw, or discontinue any feature, link type, plan, or part of the service at any time, including limits on active links and connections that gate over-limit actions behind an upgrade prompt. Where a change materially reduces a paid plan already in effect, the cancellation and billing terms in the Plans, billing, and cancellation section continue to apply.
To the fullest extent permitted by applicable law, byosportal does not warrant that the service will be uninterrupted, timely, secure, or error-free, and makes no uptime or availability commitment of any kind. The service depends on the third parties your account relies on — the cloud storage provider you connect (AWS, Google Cloud Storage, or Azure), Stripe for billing, Hanko for authentication, and Resend for email — and byosportal is not responsible for interruptions, performance, durability, or data loss originating with those providers or with the storage bucket you control.
Because file contents travel directly between your bucket and the recipient and never traverse or persist on byosportal servers, the availability and durability of files depends on the storage provider and bucket configuration you choose and are solely responsible for, not on byosportal. byosportal generates time-limited download and upload links on authenticated instruction and makes no representation about the underlying content or its continued availability.
Nothing in this clause limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any mandatory statutory rights you may have as a consumer.
11. Disclaimers
To the fullest extent permitted by applicable law, the service is provided as is and as available, without warranties of any kind, whether express or implied. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We make no promise that the service will be uninterrupted, error-free, secure, or that it will meet any particular requirement.
Because byosportal operates on a bring-your-own-storage model, file contents travel directly between the storage bucket and the recipient and never traverse or persist on byosportal servers. We do not warrant the storage bucket, the cloud credentials, the bucket configuration, or the content held within it. Those remain under your control, and you are solely responsible for them, including:
- the availability, durability, and performance of the storage provider you choose (AWS S3, Google Cloud Storage, or Azure Blob Storage), and any data loss originating from that provider;
- bucket security configuration, including access policies, encryption-at-rest, and public-access controls;
- the lawfulness of all stored content, that it does not infringe third-party intellectual property rights, and that it complies with applicable data protection law, including maintaining a lawful basis for any personal data;
- all charges levied by the storage provider, including storage volume, API calls, and egress — byosportal passes through no storage charges.
byosportal acts solely on your authenticated instruction. Generating a signed download or upload link is a mechanical, instruction-following operation: we make no representation about the content a link points to, and we have no obligation to screen, moderate, review, or remove it. Our security obligations extend only to the credentials we hold in encrypted form and the links we mint on instruction; they do not extend to the underlying storage relationship between you and your provider.
The service relies on third parties whose own terms govern their portion of the service: the cloud storage providers, Stripe for billing, Hanko for authentication, and Resend for email. byosportal does not warrant the availability or performance of these third-party services and disclaims liability for their acts or omissions, as further described in the Third-Party Services clause, the Privacy Policy, and the Data Processing Agreement.
Nothing in this clause excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any statutory rights available to consumers that cannot be waived by agreement.
12. Limitation of liability
To the maximum extent permitted by applicable law, and except for the liabilities that cannot be excluded or limited under that law, byosportal is not liable for any indirect, incidental, special, consequential, or punitive damages, nor for any loss of profits, revenues, data, or goodwill, arising out of or relating to the service or these Terms, whether based in contract, tort, or any other legal theory, and whether or not byosportal has been advised of the possibility of such loss.
To the maximum extent permitted by applicable law, the total aggregate liability of byosportal arising out of or relating to the service or these Terms is limited to the amount you paid to byosportal in the twelve months immediately before the event giving rise to the claim.
Because byosportal operates on a bring-your-own-storage model, file contents travel directly between your storage bucket and the recipient and never traverse or persist on byosportal servers. byosportal therefore disclaims liability, to the maximum extent permitted by applicable law, for the availability, durability, performance, security configuration, or data loss of the cloud-storage provider you choose, and for any costs charged by that provider, including egress, API calls, and storage volume. You remain solely responsible for your files, cloud credentials, bucket configuration, and access permissions.
Nothing in these Terms excludes or limits the liability of byosportal for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, for wilful misconduct or gross negligence, or for any other liability that cannot be excluded or limited under applicable law. Nothing in this section affects any statutory rights that you have as a consumer and that cannot be waived or limited by agreement.
This limitation operates consistently with the order of precedence set out in the Data Processing Agreement: the Data Processing Agreement prevails on data-protection subject matter, while the liability of each party — including for the processing of personal data — remains governed by the limitations and exclusions in this section and these Terms. Nothing in the Data Processing Agreement increases or extends either party’s liability beyond what these Terms provide.
13. Indemnification
You agree to indemnify, defend, and hold harmless byosportal from and against any third-party claims, damages, losses, liabilities, and reasonable costs (including reasonable legal fees) arising out of or relating to:
- the content stored in the storage bucket you control, including its storage and its distribution through download or upload links generated via the service;
- your use of the service, including the configuration of cloud credentials, bucket access policies, and permissions;
- any breach by you of these Terms, including the warranties given as to the lawfulness of the content; and
- any violation by you of applicable law or of the intellectual property, privacy, or other rights of a third party.
Because file contents travel directly between the storage bucket you control and your recipients, and never traverse or persist on byosportal servers, byosportal acts solely on your authenticated instruction and makes no representation about the content. byosportal has no obligation to screen, moderate, or remove content, and the responsibility for ensuring that all content is lawful and non-infringing rests with you.
This obligation does not require you to indemnify byosportal to the extent a claim arises from the wilful misconduct or fraud of byosportal, and nothing in this section limits or excludes any liability that cannot be limited or excluded under applicable law. byosportal will give you prompt notice of any claim subject to this section and will not settle any such claim without your consent, such consent not to be unreasonably withheld.
14. Termination
You may stop using the service at any time. You may cancel a paid plan through the Stripe customer portal — the plan then stays active to the end of the current paid period and stops at renewal — and may delete your account in full from the account settings. Cancellation stops future billing; account deletion removes your data. Fees already paid are non-refundable for partial periods except where required by law.
byosportal may suspend or terminate access to the service, in whole or in part, for any of the following reasons:
- a breach of these Terms, including the Acceptable Use restrictions;
- a legal, regulatory, or security reason, including suspected misuse, fraud, or a risk to the service or to other users;
- non-payment of fees due on a paid plan; or
- on reasonable notice, including where byosportal discontinues the service.
Because file contents never traverse or persist on byosportal servers, termination does not affect the files held in your storage buckets — those remain under the sole control of you and the cloud provider you choose. Termination of byosportal access does, however, stop the generation and serving of new download and upload links, and existing links cease to function.
On termination or account deletion, byosportal deletes your data, including the encrypted credential residue it holds, in accordance with the retention rules set out in the Privacy Policy and the Data Processing Agreement.
Any provisions of these Terms that by their nature should survive termination remain in effect, including those relating to intellectual property, disclaimers, limitation of liability, and indemnification.
15. Changes to these terms
byosportal may update these Terms from time to time. The version and effective date shown at the top of this page reflect the current text and govern your use of the service.
Where a change is material, byosportal will give notice in advance — through the service or by email to the address associated with your account — before the updated Terms take effect.
Continued use of the service after an updated version takes effect constitutes acceptance of the revised Terms. If you do not agree to a change, you may cancel a paid plan through the Stripe customer portal and stop using the service. Changes apply only from their effective date forward and do not alter the terms that governed earlier use.
16. Governing law and disputes
These Terms, and any dispute arising out of or relating to them or your use of the service, are governed by the laws of [jurisdiction — to be completed before launch], without regard to its conflict-of-laws rules.
Before bringing a formal claim, the parties will try in good faith to resolve the dispute informally. Any unresolved dispute is subject to the exclusive jurisdiction of the courts of [jurisdiction — to be completed before launch], except where applicable law preserves your right to bring proceedings in your place of residence.
17. Miscellaneous
These Terms, together with the Privacy Policy and the Data Processing Agreement, constitute the entire agreement between you and byosportal regarding the service, and supersede any prior understanding on the same subject matter.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
A failure or delay by either party in enforcing any provision of these Terms is not a waiver of that provision or of the right to enforce it later. In particular, accepting payment after a breach does not waive the right to enforce these Terms.
You may not assign or transfer these Terms, in whole or in part, without the prior consent of byosportal. byosportal may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of its assets.
Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of nature, network or infrastructure outages, or the unavailability of a third-party service such as the cloud provider you choose, Stripe, Hanko, or Resend.
18. Reporting infringement
If you believe that content shared through a byosportal link infringes your intellectual-property rights, or that someone has infringed byosportal’s own intellectual property, you may report it to us at privacy@byosportal.dev. To help us act on your report, please include enough detail for us to identify the matter, in particular:
- identification of the work or other right you say has been infringed, and of the allegedly infringing material;
- the full share or upload link URL through which the material is being distributed;
- your name and contact details so that we can reach you;
- a statement, made in good faith, that the use you are complaining of is not authorised by the rights holder, its agent, or the law; and
- a statement that the information in your report is accurate and that you are the rights holder or are authorised to act on the rights holder’s behalf.
It is important that you understand what byosportal can and cannot do in response, because of how the service works. As explained elsewhere in these Terms, byosportal generates links and access controls but does nothost, store, or control your files: the file contents live in your own cloud bucket and travel directly from that bucket to the recipient, and never traverse or persist on byosportal’s servers.
Where a report is warranted, byosportal can disable the specific share or upload link we generated and, in appropriate cases, suspend or terminate the connection or account involved. What byosportal cannot do is remove, alter, or access the underlying file in your bucket, or take down content held in third-party storage that we do not control. Disabling a link stops that particular distribution path, but the file itself remains in your bucket and remains your responsibility to address. If the underlying file needs to be removed or made unreachable, that requires action by you as the bucket owner, or by the cloud storage provider directly.
byosportal reserves the right, in its discretion, to disable links and to suspend or terminate accounts where it suspects infringement or a breach of these Terms, including the Acceptable Use restrictions, with or without prior notice, and is under no obligation to monitor content shared through the service. If your link or account is affected, you may contest the action by contacting us, and byosportal will consider your response.
